Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Going.

Going is operated by Dumbledore Solutions Ltd (RC 1763934), a private company incorporated in Nigeria ("Going", "we", "us", or "our"). Our address is 422 Crescent, Citec Villa, 4th Avenue, Gwarimpa, Abuja, Nigeria. Our contact email is kunle@dumbledoretech.com.

By creating an account, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not create or use a Going account.

Important fees, cancellation restrictions, refund outcomes, risk terms, and creator obligations are also displayed at the relevant checkout or publication step. Merely browsing the public landing page does not by itself mean that you accept these Terms.

You must be at least 18 years old and legally capable of entering a contract to create a Going account.

A minor may attend only as an unnamed Guest Pass holder under the adult purchaser's responsibility and subject to any Event or venue age restriction.

You must:

• provide accurate and current information;
• maintain only accounts you are authorised to use;
• keep your device, email account, sign-in session, and one-time codes secure;
• promptly tell us of suspected unauthorised access; and
• comply with these Terms and applicable law.

We may require additional phone, identity, payout-account, or risk verification before you use particular features.

Going provides technology for discovering, creating, coordinating, funding, joining, and attending Events. For user-created Events, the Event Creator - not Going - is the organiser and is responsible for:

• the Event's accuracy, delivery, legality, safety, venue, staffing, permits, accessibility disclosures, insurance, and taxes;
• honouring the description, schedule, location, Participation Options, capacity, and refund obligations;
• complying with venue rules and laws; and
• the conduct of Co-hosts acting for the Event.

Going may moderate, verify certain information, facilitate payments, and enforce these Terms, but does not thereby become the Event organiser.

If Dumbledore Solutions Ltd organises an Event itself, the listing will identify it as the organiser, and it will assume the organiser obligations for that Event.

A "Verified Creator" label means only that Going or a payment partner completed specified identity and payout-account checks. It is not an endorsement, criminal-background check, guarantee of Event quality or safety, insurance promise, or guarantee that a Refund will be immediately available.

Going may require reverification, impose financial limits, place reserves, or restrict creator privileges based on reasonable fraud, compliance, payment, or safety concerns.

An eligible user may join while capacity remains. A free Event creates a confirmed Participant when the user confirms attendance. A paid Event creates a confirmed Participant or reserved place only after payment succeeds.

A purchaser may buy multiple places where the Event allows it. Additional places become Guest Passes. The purchaser remains the financial owner of a paid Guest Pass and controls its reassignment, cancellation, and Refund rights. A person who merely claims a Guest Pass cannot request its Refund.

An invitation does not reserve capacity unless a paid or free Guest Pass already occupies the place. Ticket scanning records admission but does not create a second right to attend. Tickets and Guest Passes remain subject to the Event's disclosed rules.

Paid transactions are processed in Nigerian naira through the payment provider shown at checkout.

Before payment, Going will display:

1. the Contribution allocated to the Event;
2. the Going fee, equal to 4% of the Contribution amount for that successful checkout, subject to a minimum of ₦100 and a maximum of ₦2,000 per checkout;
3. the payment provider's collection fee;
4. applicable tax information; and
5. the final amount to be charged.

The Going fee:

• is paid by the attendee;
• is calculated on the Contribution, not on the collection fee;
• is never less than ₦100, so on a Contribution below ₦2,500 the fee is more than 4% of that Contribution, and is never more than ₦2,000, so on a Contribution above ₦50,000 the fee is less than 4%;
• is inclusive of VAT or similar transaction tax applicable to Going's fee; and
• applies separately to each successful checkout, including a later Extra Contribution.

The exact naira amounts shown before confirmation control that checkout. If a provider fee changes before payment, Going will recalculate the total and ask for confirmation again. Going will not charge an attendee retroactively if the provider later reports a different collection fee; Going bears that variance.

Only the Contribution counts toward an Event's Funding Goal. Going does not charge its fee for a failed payment attempt.

Beta transaction, Event, and rolling creator limits may apply. The applicable limit will be shown in-product and may be lowered for risk or compliance reasons. An increased limit may require manual review.

Going facilitates payments, Refunds, and Payouts using providers such as Paystack and Flutterwave. You authorise Going and the active provider to process the transaction information necessary to complete and reconcile your transaction.

Going is not a bank, deposit account, or personal escrow service. Provider downtime, verification, banking rails, and compliance reviews may delay a transaction. Nothing in this section removes a statutory payment or refund right.

An Event may have a Minimum Participants requirement, Funding Goal, or both. If both apply, both must be satisfied.

Contributions are charged immediately. Reaching a requirement early does not confirm the Event or trigger an early Payout. Contributions may continue until capacity is full, the viability deadline passes, or the creator closes them where that feature is available.

At the viability deadline, Going evaluates the disclosed requirements:

• if all requirements are satisfied, the Event becomes viable for Payout purposes; or
• if any requirement is not satisfied, the Event fails viability and does not proceed.

Amounts collected above a Funding Goal form part of the creator's Event proceeds, subject to these Terms.

The exact cancellation cutoff will be displayed before payment, on the receipt, and in the Event details.

• For an Event with viability requirements, the cutoff is the viability deadline.
• For a paid Event without viability requirements, the default cutoff is 24 hours before the Event begins.

Before the cutoff, a paid purchaser may cancel an eligible place using the available process. After the cutoff, there is ordinarily no self-service Refund, although the Event Creator or Going may approve an exception and applicable law may require one.

"Full checkout refund" means the relevant Contribution, proportional Going fee, and proportional collection fee. "Contribution-only refund" excludes the Going fee and collection fee.

The following rules apply unless applicable law gives the attendee a greater right:

The paid-attendee-removal rule is a policy for manual or future cases; it does not promise a self-service removal feature during the private beta.

For a Material Change, the Refund window reopens for 24 hours after notice. If late notice makes a full 24-hour period impossible, the window remains open until the changed Event begins. Minor edits to a description, image, or itinerary do not ordinarily reopen Refund rights.

Where one place in a multi-place checkout is refunded, the fee portion will be allocated proportionally unless the entire order is cancelled.

We will aim to initiate an approved Refund within five business days. A bank or payment provider may take up to ten additional business days to post it. These periods are estimates rather than guarantees.

No provision of these Terms excludes a Refund, repair, repeat performance, or other remedy required by the Federal Competition and Consumer Protection Act or other applicable law.

The attendee pays the Going fee. Going does not deduct an additional platform commission from the creator's Contributions.

A creator's estimated net Payout consists of successful Contributions, less:

• the disclosed payment-provider transfer fee;
• Refunds, reversals, and chargebacks;
• reserves and amounts reasonably withheld under these Terms;
• Creator Debt and lawful offsets; and
• taxes or other deductions Going is legally required to withhold.

Going aims to initiate an eligible Payout within two business days after the viability deadline confirms that all requirements are satisfied. The creator must select a viability deadline early enough to allow for provider and bank processing before the Event.

Payout initiation and bank-credit dates are estimates, not guarantees. Going may delay, withhold, reduce, reverse, or reserve a Payout where reasonably necessary because of:

• incomplete identity or payout verification;
• suspected fraud, misuse, or unlawful activity;
• chargebacks, Refund exposure, complaints, or safety concerns;
• inaccurate Event or payout information;
• Creator Debt or another breach of these Terms;
• payment-provider, banking, tax, court, or regulatory requirements; or
• operational failure outside Going's reasonable control.

The creator authorises Going to offset amounts lawfully owed against current or future Payouts. Going will provide notice of a material hold where doing so is lawful and would not compromise an investigation.

If a creator has already received a Payout and a later Event cancellation, Material Change, attendee removal, Refund, chargeback, provider dispute cost, or other creator-controlled obligation makes money due to Going, the amount becomes "Creator Debt."

Creator Debt is due within seven calendar days after notice. Going may:

• offset it against current or future Payouts;
• suspend the creator's ability to publish paid Events or receive Payouts;
• require a reserve or repayment before restoring privileges; and
• pursue lawful recovery of an unpaid amount and reasonable recovery costs.

Where Going no longer holds the Event funds, an attendee's post-Payout Refund may remain pending until the creator repays the amount, unless Going is legally required to refund sooner.

The creator is responsible for a disputed Contribution and provider dispute costs where the dispute arises from the creator's Event, cancellation, misdescription, non-delivery, unsafe or unlawful conduct, or breach of these Terms.

Going bears the amount where the dispute results from Going's own platform error, an unauthorised charge caused by Going, or provider conduct allocated to Going.

Going may freeze affected Payouts and paid-event privileges during an investigation. Where appropriate, the creator will receive notice and a reasonable opportunity to provide evidence. Starting a chargeback does not create a right to recover the same amount twice.

A Material Change is a change to an Event's date, start time, or location after Participants have joined. The creator must promptly and accurately update Going. Going may notify Participants through in-app and email Critical Notices.

An Event cancellation is final. It stops new joins and Contributions and may make the Event Chat read-only. A cancelled Event cannot be restored; the creator may create a new Event.

If cancellation or a Material Change occurs after Payout, the creator remains liable for the resulting Refunds under sections 10 and 12.

Event Creators are responsible for determining, reporting, and paying taxes, levies, licence fees, permits, and other obligations associated with their Events and proceeds.

Going is responsible for taxes applicable to its own fee and may withhold, report, or disclose transaction information where legally required.

Going does not include Event, ticket, cancellation, property, health, or personal-accident insurance in the private beta. Creators are responsible for obtaining insurance appropriate to their Events. Attendees remain responsible for personal belongings and ordinary participation risks, subject to liabilities that cannot lawfully be excluded.

You retain ownership of content you submit. You grant Going a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, moderate, and display that content only as reasonably necessary to:

• operate, secure, and improve Going;
• display and share the specific Event according to its visibility setting;
• generate Event invitations and event-specific promotional materials you request; and
• investigate reports and enforce these Terms.

This licence ends when the content is deleted from active systems, except for reasonable backup, legal, safety, and evidentiary retention. Going requires separate permission before using Private Event content, attendee photographs, or Event Chat content in general advertising.

You must have the rights and permissions needed for content you upload, including images of other people.

You must not use Going for:

• unlawful, fraudulent, deceptive, or misleading Events or transactions;
• harassment, threats, hate, unlawful discrimination, or sexual exploitation;
• child sexual abuse material or exploitation of a minor;
• illegal drugs, weapons, or other prohibited goods or services;
• unsafe Events lacking permits or controls required by law;
• impersonation, spam, intellectual-property infringement, malware, or unauthorised data collection;
• manipulating capacity, funding, tickets, Refunds, reviews, or identity checks;
• bypassing Going's payment, safety, moderation, access, or financial controls; or
• conduct that endangers users, providers, Going, or the public.

We may remove content, cancel a listing, restrict a feature, suspend an account, preserve relevant evidence, and report conduct where legally required. Where appropriate, we will provide notice and a way to request review. Enforcement does not remove an attendee's applicable Refund rights.

Participation in an Event may involve travel, crowds, alcohol, food, physical activity, venues, third parties, and other inherent risks. Review the Event description, venue rules, accessibility information, and your own circumstances before joining.

Event Creators must take reasonable steps to operate safely and lawfully. Attendees must follow lawful host and venue rules and must not endanger or harass others.

Going's moderation, verification, or display of an Event is not a guarantee of a creator, venue, attendee, or Event. Nothing in these Terms excludes responsibility that applicable law does not permit us or a creator to exclude.

You may request account deletion, but Going may delay final deletion while you own an active Event or have a pending payment, Payout, Refund, chargeback, complaint, investigation, or Creator Debt.

Going may restrict or suspend an account or feature where reasonably necessary to protect users, investigate a breach, comply with law, or manage financial risk. We will consider proportionality and, where appropriate, provide notice and review.

After eligible deletion, ordinary profile data will be removed or anonymised in accordance with the Privacy Policy. Financial, consent, moderation, and legal records may be retained. Shared chat history may remain attributed to "Deleted user."

Sections that by their nature should survive termination - including payment, Creator Debt, intellectual property, dispute, liability, and record-retention terms - remain effective.

We aim to provide a reliable service, but Going may be interrupted by maintenance, connectivity, payment providers, banks, hosting providers, emergencies, or events outside our reasonable control.

Third-party venues, websites, maps, payment methods, and services have their own terms. Going is not responsible for their independent conduct, but this does not limit responsibility that applicable law assigns to Going.

Nothing in these Terms waives or restricts a right or remedy that cannot lawfully be waived under the Federal Competition and Consumer Protection Act or other applicable law.

To the extent permitted by law, Going is provided on an "as available" basis. We do not guarantee that every user-created Event will occur, meet a Funding Goal, be suitable for a particular person, or be free from ordinary Event risks. These statements do not excuse fraud, misrepresentation, defective platform performance, gross negligence, or another liability that law does not permit us to exclude.

This section applies only to the extent permitted by law.

For claims legally capable of limitation, Dumbledore Solutions Ltd's aggregate liability to a claimant arising from Going will not exceed the greater of:

• the Going platform fees that claimant paid during the 12 months before the event giving rise to the claim; or
• ₦50,000.

This cap does not reduce:

• a valid attendee Refund;
• a valid creator Payout;
• liability for fraud, wilful misconduct, or gross negligence;
• liability for death or personal injury caused by Going where it cannot lawfully be limited; or
• another liability or consumer remedy that applicable law does not permit us to limit.

To the extent permitted by law, Going is not liable for indirect or consequential loss that was not reasonably foreseeable when the contract was formed.

An Event Creator will indemnify Dumbledore Solutions Ltd against reasonable third-party claims, penalties, chargebacks, losses, and legal costs arising from the creator's:

• unlawful or unsafe Event;
• inaccurate or misleading listing;
• missing licence, permit, tax, or required insurance;
• infringement of another person's rights;
• cancellation, non-delivery, or breach of these Terms; or
• act or omission of a Co-host acting for the Event.

This indemnity does not apply to the extent a loss was caused by Going's own negligence, misconduct, or breach. It will be applied consistently with mandatory consumer law and the circumstances of the claim.

Contact kunle@dumbledoretech.com first with enough detail for us to investigate. We will aim to resolve the complaint within 14 days, although a complex payment, safety, or third-party investigation may take longer. We will keep you reasonably informed of an unavoidable delay.

These Terms are governed by Nigerian law. If a dispute is not resolved internally, the parties may agree to mediation or bring proceedings before a court of competent jurisdiction in the Federal Capital Territory, Abuja.

Nothing in this section prevents a consumer from contacting the Federal Competition and Consumer Protection Commission, the Nigeria Data Protection Commission, another competent regulator, or a court where the law permits.

We may update these Terms prospectively. We will publish a new effective date and give reasonable notice of material changes.

Material changes to fees, Refunds, Payouts, data uses, or dispute rights will require renewed affirmative acceptance before a user continues the relevant activity. A change will not retroactively alter a completed checkout or an accrued Refund or Payout right unless required by law.

The terms, fee calculation, cancellation cutoff, and Refund rule displayed and accepted for a particular checkout govern that checkout.

If a court finds part of these Terms unlawful or unenforceable, that part will be applied to the maximum lawful extent and the remainder will continue.

Our failure to enforce a provision immediately is not a waiver. You may not transfer your account or rights under these Terms without our consent. We may transfer these Terms as part of a merger, reorganisation, financing, or sale of Going, subject to applicable law and continued protection of accrued rights.

These Terms, the Privacy Policy, and the transaction-specific disclosures presented before checkout or Event publication form the agreement relating to your use of Going.
